1. About This Promo

1.1 The Rexobe Birthday Discount Sales is a limited-time promotional offer by Rexobe Consult, available exclusively from 26th June to 3rd July.

1.2 This promo applies strictly to our Business Permit / PENCOM / NSITF / ITF compliance services only. No other plan, upgrade, or add-on is covered under this promo.

1.3 Clients requiring a Premium Plan or CEO Plan will be charged the full normal price applicable to those plans. This promo offers no discount on Premium or CEO Plans whatsoever.

1.4 This T&C covers the following compliance services which may be engaged individually or together:

• Federal Government Business Permit for foreign nationals and expatriate-employing companies operating in Nigeria
• PENCOM National Pension Commission compliance registration and filing
• NSITF Nigeria Social Insurance Trust Fund registration and compliance
• ITF Industrial Training Fund registration and compliance
• CERPAC Combined Expatriate Residence Permit and Aliens Card

1.5 Each service listed above is a mandatory statutory compliance obligation under Nigerian law for eligible businesses. By engaging any of these services, the client acknowledges their legal obligation to comply with the applicable regulatory requirements.

1.6 These services are available to registered businesses only. Clients must have a valid and active CAC registration before proceeding. Unregistered entities are not eligible.

2. Promo Eligibility & Pricing

2.1 Unlike other services under this promo, the pricing for Business Permit / PENCOM / CERPAC / NSITF / ITF services varies depending on the specific service(s) selected, the size of the company, number of staff, share capital, expatriate quota, and other company-specific details that are only determinable after reviewing the client’s documents and information.

2.2 To qualify for the promo discount, the client must:

• Complete and submit the promo registration form on or before 3rd July, AND
• Make payment on or before 3rd July

2.3 Submitting the form within the promo window does not automatically secure the promo price. The promo discount is only confirmed and locked in upon payment within the promo window (26th June – 3rd July). Any payment made after 3rd July will be charged at the full normal prevailing rate regardless of when the form was submitted.

2.4 The following discount tiers apply based on the date both form submission and payment are completed:

2.5 Upon reviewing the client’s submitted documents and company details, Rexobe Consult will calculate and communicate the exact price applicable to the client’s chosen service(s). The discounted promo price will then be clearly stated before the client proceeds to payment.

2.6 Payment for these services is made directly to Rexobe Consult and not through the website, as the price is determined after document review. Payment details will be communicated to the client at the time of invoicing. Clients are advised to ensure payment is made strictly to the official Rexobe Consult bank accounts communicated to them and not to any other account.

2.7 Once the discounted price is communicated and payment is made, the promo price is locked in and cannot be changed or upgraded retroactively.

2.8 This promo closes permanently on 3rd July. No extensions will be granted under any circumstances after this date.

3. What is Included in This Promo

3.1 The deliverable for each service under this promo is as follows (soft copies only):

• Business Permit: Federal Government Business Permit Certificate
• PENCOM: PENCOM Compliance Certificate
• NSITF: NSITF Compliance Certificate
• ITF: ITF Compliance Certificate
• CERPAC: CERPAC Certificate

3.2 Where a client engages multiple services, a separate certificate will be delivered for each service successfully processed.

3.3 Hard copies of documents are not included in this promo. However, a client who requires a hard copy may request one, provided they are willing to bear the full cost of hard copy processing and any associated charges entirely at their own expense, outside of and in addition to the promo price.

3.4 The complete cost of delivery of any hard copy requested under clause 3.3 including but not limited to printing, courier, logistics, and any other associated charges shall be borne entirely by the client. This cost is completely separate from and in addition to the promo price paid. Rexobe Consult bears no part of this cost whatsoever.

4. Document Submission

4.1 After submitting the promo registration form, clients are required to provide all necessary documents on or before 10th July to still access our stipulated timeframe for processing.

4.2 The following are general documents required across all services. Not all documents listed will apply to every service—Rexobe Consult will advise the client on the specific documents required for their chosen service(s) upon engagement:

Corporate Documents:

• CAC Certificate (mandatory for all services)
• Memorandum and Articles of Association / MEMART (mandatory for all services)
• Status Report
• Certificate of Incorporation
• Board of Resolution
• Company Profile
• Tenancy Agreement or Certificate of Occupancy (C of O) for operating premises
• Bank Reference Letter
• Certificate of Capital Importation (where applicable)

Tax & Financial Documents:

• Company’s current Tax Clearance Certificate (TCC)
• Evidence of payment of Nigeria Social Insurance Trust Fund (NSITF)
• Audited Financial Statement (where applicable)
• Tax station and state (if previously registered on TaxPro Max)
• REV360 login details Email and Password (if already registered on REV360)

Staff & Operational Documents:

• Number of Staff
• List of equipment / facility
• List of approved expatriate quota positions and their Nigerian understudies (where applicable)
• Proposed training programme for Nigerian staff for the current year (where applicable)
• Previous PENCOM / BPP / NSITF / ITF Certificate (for older/existing companies)

Professional Body Certifications (where applicable depending on the nature of the business):

• COREN Certificate (for construction and engineering companies)
• COMEG Certificate (for mining companies)
• Nigerian Environmental Society (NES) Certification
• ISPON Certificate (for safety professionals)
• NISLT Certificate (for science and laboratory technologists)
• Nigerian Security & Civil Defence Approval (for security companies)
• Nigerian Ports Authority (NPA) Certification (where applicable)
• NBA Certificate (for consultants in legal services)
• Pharmaceutical Council of Nigeria (PCN) Certificate (for pharmaceutical consultants)
• NIMASA Certification (for marine transportation, operation and security companies)
• Health, Safety & Environment (HSE) Certification (where applicable)

Group Life & Insurance:

• Evidence of Group Life Insurance (where applicable—client to indicate whether Group Life has been done previously)

4.3 Clients must accurately indicate at the point of form submission whether they have previously: Done Group Life Insurance, Filed Company Income Tax, or Have an Audited Financial Statement. Providing false or inaccurate responses to any of the above will be treated as an incomplete or misleading submission and may result in delays, rejection, or additional charges entirely at the client’s expense.

4.4 It is the client’s sole responsibility to ensure that all documents submitted are accurate, valid, current, and complete. Rexobe Consult will proceed with filing based strictly on the documents provided. Any errors, rejections, or complications arising from incorrect, expired, or invalid documents provided by the client will attract additional correction charges at the client’s expense.

4.5 The service timeframe countdown does not begin until all required documents have been received in full and confirmed as complete by Rexobe Consult on or before 10th July.

4.6 If documents are submitted after 10th July, the promo timeframe guarantee no longer applies and Rexobe Consult cannot be held responsible for delivery timelines.

4.7 Professional Body Certifications that are required but not provided will be treated as an incomplete submission and will not trigger the service timeframe. Clients are strongly advised to confirm whether their business category requires any professional certification before submitting documents.

5. Service Timeframe

5.1 All services under this promo will generally be completed within ten (10) to fifteen (15) working days, provided all complete and accurate documents are received and confirmed by Rexobe Consult on or before 10th July, all things being equal. Certain services may be completed in fewer working days depending on the nature of the service and the responsiveness of the relevant regulatory authority.

5.2 This timeframe is subject to the processing schedules of the relevant government agencies including but not limited to PENCOM, NSITF, ITF, and the Federal Ministry of Interior, and other relevant authorities. Rexobe Consult shall not be held liable for delays caused by agency portal downtime, system changes, regulatory updates, or any circumstances beyond our control.

5.3 The 10–15 working day timeframe only begins when complete documents are submitted and payment is confirmed. Incomplete submissions or unconfirmed payments will not trigger the timeframe. However, this does not extend your document submission deadline—all documents must be fully submitted and confirmed complete on or before 10th July. Failure to meet this deadline automatically voids the promo timeframe guarantee entirely, regardless of how much of the processing window may have appeared to be pending.

5.4 Where a client engages multiple services simultaneously, the timeframe applies to each service independently. Completion of one service does not guarantee simultaneous completion of all other services engaged.

5.5 Working days refer to Monday through Friday, excluding Nigerian public holidays. Submissions made on weekends or public holidays will begin processing on the next available working day.

6. Client Review & Approval Responsibility

6.1 Before any application or filing is submitted to any regulatory authority on the client’s behalf, Rexobe Consult will send the completed details to the client for review and approval.

6.2 The client is expected to carefully review all details for accuracy including company information, staff details, expatriate quota, professional certifications, and all other information before granting approval.

6.3 Once the client approves the details, the client assumes full responsibility for the accuracy of the content therein. Any errors, queries, fines, or additional charges arising from incorrect information that was approved by the client will be borne entirely by the client.

6.4 Approval of details by the client signifies that the client is satisfied with the content and authorises Rexobe Consult to proceed with submission. No corrections will be made at Rexobe Consult’s expense after client approval.

6.5 If the client identifies an error before approval, it must be communicated immediately so corrections can be made before submission. That is the only window for free corrections.

7. Compliance Disclaimer

7.1 Rexobe Consult acts solely as a registration and compliance facilitation agent. We do not provide legal or regulatory advisory services beyond the scope of the registration process.

7.2 It is the client’s sole responsibility to ensure ongoing compliance after certificates have been issued, including timely renewal of all certificates when due. Rexobe Consult shall not be held liable for any penalties, sanctions, or consequences arising from the client’s failure to renew or maintain compliance after certificates have been delivered.

7.3 Federal Government Business Permit is issued to companies employing expatriates or operating under foreign investment in Nigeria. It is the client’s responsibility to confirm their eligibility for this permit before engaging the service. Rexobe Consult shall not be liable for rejections arising from the client’s ineligibility.

7.4 Any regulatory changes introduced by PENCOM, NSITF, ITF, the Federal Ministry of Interior, or any other government authority after the commencement of the registration process that affect the client’s application are outside the control of Rexobe Consult and shall not constitute grounds for a refund or dispute.

7.5 Clients are advised that operating without the required compliance certificates attracts serious legal penalties under Nigerian law. Rexobe Consult shall not be held liable for any penalties, fines, or sanctions imposed on the client arising from non-compliance prior to or during the engagement of this service.

8. Forfeiture & Reactivation Policy

8.1 If a client submits the promo form but fails to make payment and fails to communicate with Rexobe Consult between 31st July and the end of September, Rexobe Consult will assume that the client has forfeited their compliance service engagement.

8.2 No reminders are guaranteed beyond reasonable follow-up. It is the client’s responsibility to stay engaged and responsive.

8.3 Reactivation within the July 31st – September window: A client who wishes to reactivate their service after going silent must pay the shortfall between the promo price already paid and the current normal service price at the time of reactivation. Access to the promo expires after 31st July.

8.4 After September, the promo deal is completely and permanently void. No reactivation under promo terms will be entertained after this period.

8.5 If a client has not made payment by 31st July and the normal service price has changed, the client will be required to pay the difference between the promo amount already paid and the updated normal price, regardless of reactivation status.

9. Promotional Refund & Submission Policy

9.1 Due to the heavily discounted nature of this promotional flash sale (running from 26th June to 3rd July), all payments are final and non-refundable, except as expressly required under the Federal Competition and Consumer Protection Act (FCCPA) for total failure of service delivery solely caused by Rexobe Consult.

9.2 The standard Rexobe Consult refund policy does not apply to transactions completed under this promotion.

9.3 By making a payment under this promotion, the client acknowledges and agrees that refunds will not be issued under any of the following scenarios:

• Change of Mind: Client’s voluntary withdrawal or decision not to proceed with any of the selected compliance services.
• Document Delays: Client’s failure to submit all required documents on or before the strict deadline of 10th July.
• Ineligibility: Rejection or complication arising from the client’s ineligibility for any of the selected services.
• Missing Professional Certifications: Delay or rejection arising from the client’s failure to provide required professional body certifications.
• Timeline Dissatisfaction: Client’s dissatisfaction with processing speeds, provided Rexobe Consult has initiated and is actively processing the application.
• Client Errors: Rejections or complications arising from incorrect, false, expired, or incomplete documents and information provided by the client.
• Regulatory Bottlenecks: Delays, sudden policy updates, or portal downtimes caused by PENCOM, NSITF, ITF, the Federal Ministry of Interior, or any other government authority.

9.4 Default and Forfeiture: Any promotional engagement where the client fails to provide complete documentation by 10th July shall be deemed abandoned. Payments made for abandoned engagements are strictly non-refundable and cannot be carried forward to future non-promotional services.

10. Limitations & Exclusions

10.1 This promo is available on a first-come, first-served basis and Rexobe Consult reserves the right to close the promo earlier than scheduled if capacity is reached.

10.2 This promo cannot be combined with any other offer, discount, or arrangement unless explicitly agreed upon in writing by Rexobe Consult.

10.3 Rexobe Consult is not responsible for any losses, penalties, sanctions, or business consequences arising from delays caused by government agencies, incomplete client documents, missing professional certifications, or client inaction.

10.4 These terms are specific to the promo period only and do not replace or alter the standard terms and conditions governing Rexobe Consult’s regular compliance services.

10.5 Rexobe Consult does not guarantee the outcome of any compliance application, as approval is entirely at the discretion of the relevant government agencies and regulatory authorities.

10.6 Where a client engages multiple services and one service is delayed or rejected, this does not affect the processing of the other services engaged. Each service is treated as an independent engagement.

11. General Provisions

11.1 Rexobe Consult reserves the right to amend these terms at any time during the promo period. Clients will be notified of any material changes.

11.2 These Terms and Conditions shall be governed in accordance with the laws of the Federal Republic of Nigeria.

11.3 Any dispute arising from this promo shall first be attempted to be resolved amicably between both parties before any further action is taken.
