Any errors arising from incorrect information provided by the client will attract additional correction charges at the client’s expense.

4.3 Documents must be provided for all trustees and members without exception. Incomplete submissions for any of the listed parties will be treated as an incomplete submission and will not trigger the service time frame.

4.4 The Chairman and Secretary must be clearly identified among the trustees listed. Failure to indicate this will be treated as an incomplete submission.

4.5 The service time frame countdown does not begin until all required documents have been received in full and confirmed as complete by Rexobe Consult.

4.6 Clients who make payment without submitting the required documents are granted a grace period of three (3) months to provide all necessary documentation. Please refer to Section 9 for the consequences of failing to submit documents within this period.

5. Additional Trustees: Excess Party Charges

5.1 This service accommodates a maximum of five (5) Trustees under both the Standard and Premium Plans. Any trustee added beyond this maximum will attract an additional charge of ₦5,375 per extra trustee added, payable separately and entirely at the client’s expense.

5.2 Clients are advised to confirm the total number of trustees involved before making payment to avoid unexpected additional charges. Rexobe Consult will notify the client of any excess party charges before proceeding, but this notification does not waive the obligation to pay the applicable charges.

6. Name Reservation & Substitution

6.1 The name reservation slot structure for Incorporated Trustees registration is determined entirely by the Corporate Affairs Commission (CAC) portal and is not an offering by Rexobe Consult. This is the standard process for all Incorporated Trustees registrations. Each registration is entitled to two (2) name reservation slots on the CAC portal, with a maximum of three (3) proposed names per slot, giving a total of up to six (6) proposed names across both slots.

6.2 Upon receiving the client’s proposed names, Rexobe Consult will conduct an availability check on the CAC portal and will, based on experience, advise the client on the likelihood of each name being approved before proceeding with submission.

6.3 Please note clearly: Rexobe Consult’s advice on name viability is provided in good faith and based on experience only. It does not constitute a guarantee of approval. The final decision on name approval rests solely and entirely with the CAC. Rexobe Consult bears no responsibility or liability for any name rejection by the CAC, regardless of any prior advice given.

6.4 The name reservation process works as follows:

  • Slot 1: Client proposes up to three (3) names. Rexobe Consult checks availability and advises. If all three (3) names in Slot 1 are rejected by CAC, the client proceeds to Slot 2 at no extra charge.
  • Slot 2: Client proposes another maximum of three (3) names. Rexobe Consult checks availability and advises. This is the final complimentary slot included in the service price.

6.5 If all names submitted across both Slot 1 and Slot 2 are rejected by the CAC portal, the client will be required to pay an additional fee of ₦16,125 to access a further two (2) reservation slots. This fee is completely separate from and in addition to the service price already paid.

6.6 Any additional name reservation fees charged under clause 6.5 are strictly non-refundable, regardless of the outcome of the subsequent name proposals.

6.7 Clients are strongly advised to carefully consider their proposed names and take Rexobe Consult’s advisory seriously before submission, as name rejections beyond the complimentary slots will attract additional charges entirely at the client’s expense.

7. Service Timeframe

7.1 Incorporated Trustees Registration under both the Standard and Premium Plans will be completed within twelve (12) weeks from the date all complete and accurate documents are received and confirmed by Rexobe Consult, all things being equal.

7.2 The twelve (12) week time frame for Incorporated Trustees is significantly longer than other registration types due to the mandatory nature of the following regulatory requirements:

  • Newspaper Publication: The proposed trusteeship name and notice must be published in two (2) national newspapers as required by CAC. The cost of newspaper publication is included in both plan prices.
  • 28-Day Statutory Waiting Period: After newspaper publication, a mandatory waiting period of twenty-eight (28) days is required by law before registration can proceed. This waiting period is fixed and cannot be shortened or waived under any circumstances.
  • CAC Review and Processing: Following the waiting period, the CAC conducts its own review and processing of the application.

7.3 This time frame is subject to the processing schedules of the CAC, newspaper publication timelines, and other relevant government authorities. Rexobe Consult shall not be held liable for delays caused by CAC portal downtime, newspaper delays, system changes, regulatory updates, or any circumstances beyond our control.

7.4 The twelve-week time frame only begins when complete documents are submitted. Incomplete submissions will not trigger the time frame.

7.5 Newspaper Publication, Important Notice: Once newspaper publication has been initiated on the client’s behalf, corrections to the published content will require a fresh publication at the client’s full expense. Clients are strongly advised to review all documents thoroughly before granting approval.

7.6 If a name substitution is required after publication has already taken place, the cost of a fresh publication will be borne entirely by the client.

7.7 Premium Plan, Physical Deliverables:

  • Delivery Within Lagos: 24 to 48 hours from completion of document processing
  • Delivery Outside Lagos: 3 to 5 working days from completion of document processing
  • Working days refer to Monday through Friday, excluding Nigerian public holidays

7.8 Delays: While Rexobe Consult strives to meet all stated timelines, unforeseen circumstances such as public holidays, courier delays, CAC portal downtime, newspaper publisher delays, or document verification issues may cause delays. Clients will be notified promptly in such cases.

7.9 Graphic Design, Premium Plan: Upon completion of CAC registration, Premium Plan clients will be transferred to the Rexobe Consult graphic design team for the design of branding deliverables (Logo, Business Cards, Letterhead, ID Cards, etc.). The client has two (2) weeks from the date of first communication with the graphic designer to provide all necessary assets, information, and approvals required for the design work.

  • Failure to provide the required assets or information within this two-week window will result in delays entirely attributable to the client. Rexobe Consult shall not be held responsible for design delivery delays arising from the client’s failure to engage promptly.
  • The two-week window begins from the date the client first communicates with the graphic designer and cannot be paused or extended due to the client’s unavailability.

7.10 SCUML Registration, Premium Plan: The SCUML registration process will commence after the CAC registration has been completed. The client will be required to provide all necessary SCUML documents at this stage. Delays in providing SCUML documents will delay the SCUML component only and will not affect the overall CAC registration timeline.

8. Client Review & Approval Responsibility

8.1 Before any documents or forms are submitted to CAC on the client’s behalf, Rexobe Consult will send the completed registration documents to the client for review and approval.

8.2 The client is expected to carefully review all documents for accuracy, including trustee names, designations (Chairman, Secretary), aims and objectives, office address, meeting quorum, trusteeship duration, sources of income, and all other details, before granting approval.

8.3 Once the client approves the documents, the client assumes full responsibility for the accuracy of the content therein. Any errors, queries, fines, or additional charges arising from incorrect information that was approved by the client will be borne entirely by the client.

8.4 Approval of documents by the client signifies that the client is satisfied with the content and authorizes Rexobe Consult to proceed with submission and newspaper publication. No corrections will be made at Rexobe Consult’s expense after client approval.

8.5 If the client identifies an error before approval, it must be communicated immediately so corrections can be made before submission. That is the only window for free corrections.

9. Document Submission Deadline & Administrative Penalty

9.1 Clients who make payment but fail to submit the required documents are granted a grace period of three (3) months from the date of payment to provide all necessary documentation.

9.2 Failure to submit the required documents within the three-month grace period will attract a monthly administrative penalty of 2.5% of the total service fee, applied at the end of each subsequent month until all documents are provided.

PlanService FeePenalty (2.5% per month after the 3-month grace period)
Standard Plan₦166,625₦4,165.63
Premium Plan₦290,550₦7,263.75

9.3 If there is a change in the price of the service during this period, the client will be required to pay the difference between the original amount paid and the updated service fee, in addition to any accumulated administrative penalties.

9.4 Accumulated administrative penalties must be settled in full before Rexobe Consult will commence processing of the client’s registration.

10. Refund Policy

10.1 Pre-Commencement Refund, Within Three (3) Months: Where a client has made payment but has not yet submitted the required documents and requests a refund within the three (3) month grace period, a refund will be processed less a 20% administrative fee deducted from the total amount paid.

PlanAmount Paid20% DeductedRefund
Standard Plan₦166,625₦33,325₦133,300
Premium Plan₦290,550₦58,110₦232,440

10.2 Pre-Commencement Refund, After Three (3) Months: Where a client requests a refund after the three (3) month grace period has elapsed and documents have still not been submitted, the refund will be processed less:

  • A 20% administrative fee, AND
  • 2.5% of the total service fee for every month that has elapsed beyond the three-month grace period

Example: A Standard Plan client requests a refund 5 months after payment (2 months beyond the grace period). Deduction = 20% + (2.5% x 2 months) = 25% total deduction.

10.3 Post-Commencement, No Refund: Once Rexobe Consult has commenced work on the client’s registration, including but not limited to submission of documents to CAC, initiation of name reservation, or payment of newspaper publication fees, no refund will be issued under any circumstances.

10.4 Newspaper Publication, Non-Refundable: Once newspaper publication has been initiated on behalf of the client, the cost of publication is strictly non-refundable regardless of the reason for cancellation or withdrawal.

10.5 Completed Work, No Refund: Where the registration has been fully completed and all deliverables have been provided to the client, no refund will be issued regardless of the reason for the request.

10.6 Cancellation by Rexobe Consult: In the unlikely event that Rexobe Consult is unable to fulfil its obligations and initiates cancellation, a refund will be provided less a 30% fee to cover costs already incurred up to the point of cancellation. Please note that newspaper publication fees already remitted cannot be recovered and will not form part of the refund.

10.7 Refunds will be processed within three (3) weeks from the date the refund request is approved by Rexobe Consult.

11. Document Preservation

11.1 Clients are expected to keep and preserve all documentation delivered upon completion of work. Rexobe Consult will not be responsible for documents lost after delivery to the client.

11.2 Document retrieval is not free. If a client requires retrieval of previously delivered documents or reports loss of documents, this will attract applicable retrieval charges entirely at the client’s expense.

11.3 Please note that the Corporate Affairs Commission (CAC) no longer provides hard copies of registration documents as standard. Hard copies under the Premium Plan are processed and printed by Rexobe Consult. Clients under the Standard Plan who require hard copies must request and pay for them separately.

12. Limitations & Exclusions

12.1 Rexobe Consult is not responsible for any losses, missed opportunities, or organizational consequences arising from delays caused by government agencies, newspaper publishers, incomplete client documents, or client inaction.

12.2 These Terms and Conditions govern the standard service offering of Rexobe Consult Ltd for Incorporated Trustees Registration and are separate from any promotional terms that may have been issued during any promo period.

12.3 Rexobe Consult does not guarantee the approval of any trusteeship name, as this is entirely at the discretion of the Corporate Affairs Commission (CAC).

12.4 The Iron Company Seal is a physical item. Rexobe Consult shall not be held liable for any damage, loss, or misuse of the seal after it has been delivered to the client.

12.5 The free consultation included in the Premium Plan is a value-added benefit and does not constitute legal advice. Clients requiring formal legal guidance are advised to consult a qualified legal practitioner.

12.6 Rexobe Consult does not guarantee the outcome of the SCUML registration included in the Premium Plan, as approval is entirely at the discretion of SCUML and relevant regulatory authorities.
