6. Document Submission

6.1 Upon payment, clients are required to submit all necessary documents for their chosen Post Incorporation Service. The following are general documents that may be required depending on the nature of the activity. Rexobe Consult will advise the client on the specific documents required for their chosen activity upon engagement:

  • Valid Means of Identification (NIN Slip or National ID Card)
  • Board Resolution or Special Resolution (where applicable)
  • Affidavit (where applicable)
  • CAC Registration Documents of the existing business

6.2 It is the client's sole responsibility to ensure that all information and documents submitted are accurate, valid, and current. Any errors, rejections, or complications arising from incorrect, expired, or invalid documents provided by the client will attract additional correction charges at the client's expense.

6.3 The service timeframe countdown does not begin until all required documents have been received in full and confirmed as complete by Rexobe Consult.

6.4 Clients who make payment without submitting the required documents are granted a grace period of three (3) months to provide all necessary documentation. Please refer to Section 8 for the consequences of failing to submit documents within this period.

7. Service Timeframe

7.1 All Post Incorporation Services will be completed within five (5) to ten (10) working days from the date all complete and accurate documents are received and confirmed by Rexobe Consult, all things being equal.

7.2 This timeframe is subject to the review and approval schedules of the Corporate Affairs Commission (CAC) and other relevant government authorities. Rexobe Consult shall not be held liable for delays caused by CAC portal downtime, system changes, regulatory updates, or any circumstances beyond our control.

7.3 The 5–10 working day timeframe only begins when complete documents are submitted. Incomplete submissions will not trigger the timeframe.

7.4 Working days refer to Monday through Friday, excluding Nigerian public holidays. Submissions made on weekends or public holidays will begin processing on the next available working day.

7.5 Where a client engages multiple services simultaneously, the timeframe applies to each service independently. Completion of one service does not guarantee simultaneous completion of all other services engaged.

8. Document Submission Deadline & Administrative Penalty

8.1 Clients who make payment but fail to submit the required documents are granted a grace period of three (3) months from the date of payment to provide all necessary documentation.

8.2 Failure to submit the required documents within the three-month grace period will attract a monthly administrative penalty of 2.5% of the total service fee, applied at the end of each subsequent month until all documents are provided.

Example: A client who paid ₦50,000 for a post incorporation service, 2.5% = ₦1,250 per month after the 3-month grace period.

8.3 If there is a change in the price of the service during this period, the client will be required to pay the difference between the original amount paid and the updated service fee, in addition to any accumulated administrative penalties.

8.4 Accumulated administrative penalties must be settled in full before Rexobe Consult will commence processing of the client's request.

9. Portal Visibility & Filing Disclaimer

9.1 In the course of processing post-incorporation changes, there may be instances where a client's registered business name or company is temporarily unavailable or not visible on the CAC portal due to system updates or portal maintenance issues.

9.2 In such cases, Rexobe Consult will promptly contact the CAC and take all necessary steps to ensure that the issue is addressed and a suitable resolution is provided.

9.3 However, the client acknowledges and agrees that Rexobe Consult shall not be held responsible for the duration it may take the CAC to resolve the issue or restore portal visibility.

9.4 Filing will be completed immediately once the client's record becomes accessible on the CAC platform. The processing timeframe stated in Section 7 will be paused for the duration of any CAC-caused portal inaccessibility and will resume once the record is accessible again.

10. Client Review & Approval Responsibility

10.1 Before any changes or filings are submitted to CAC on the client's behalf, Rexobe Consult will send the completed details to the client for review and approval.

10.2 The client is expected to carefully review all details for accuracy including names, addresses, roles, shareholding structure, objects of the business, and all other information before granting approval.

10.3 Once the client approves the details, the client assumes full responsibility for the accuracy of the content therein. Any errors, queries, fines, or additional charges arising from incorrect information that was approved by the client will be borne entirely by the client.

10.4 Approval of details by the client signifies that the client is satisfied with the content and authorises Rexobe Consult to proceed with submission. No corrections will be made at Rexobe Consult's expense after client approval.

10.5 If the client identifies an error before approval, it must be communicated immediately so corrections can be made before submission. That is the only window for free corrections.

11. Refund Policy

11.1 Pre-Commencement Refund, Within Three (3) Months: Where a client has made payment but has not yet submitted the required documents and requests a refund within the three (3) month grace period, a refund will be processed less a 20% administrative fee deducted from the total amount paid.

Example: A client who paid ₦50,000, 20% = ₦10,000 deducted. Refund = ₦40,000.

11.2 Pre-Commencement Refund, After Three (3) Months: Where a client requests a refund after the three (3) month grace period has elapsed and documents have still not been submitted, the refund will be processed less a 20% administrative fee, plus 2.5% of the total service fee for every month that has elapsed beyond the three-month grace period.

Example: Client requests refund 5 months after payment (2 months beyond the grace period). Deduction = 20% + (2.5% x 2 months) = 25% total deduction.

11.3 Post-Commencement, No Refund: Once Rexobe Consult has commenced work on the client's request, including but not limited to submission of any documents or changes to CAC or payment of any government charges, no refund will be issued under any circumstances.

11.4 Completed Work, No Refund: Where the post-incorporation activity has been fully completed and all deliverables have been provided to the client, no refund will be issued regardless of the reason for the request.

11.5 Cancellation by Rexobe Consult: In the unlikely event that Rexobe Consult is unable to fulfil its obligations and initiates cancellation, a refund will be provided less a 30% fee to cover costs already incurred up to the point of cancellation.

11.6 Refunds will be processed within three (3) weeks from the date the refund request is approved by Rexobe Consult.

12. Document Preservation

12.1 Clients are expected to keep and preserve all documentation delivered upon completion of work. Rexobe Consult will not be responsible for documents lost after delivery to the client.

12.2 Document retrieval is not free. If a client requires retrieval of previously delivered documents or reports loss of documents, this will attract applicable retrieval charges entirely at the client's expense.

12.3 Clients are advised that certain post-incorporation changes are irreversible once approved by the CAC. Clients are strongly advised to carefully review and confirm all requested changes before granting approval. Rexobe Consult shall not be liable for any consequences arising from changes that have been approved by the client and processed by the CAC.

13. Limitations & Exclusions

13.1 Rexobe Consult is not responsible for any losses, missed opportunities, or business consequences arising from delays caused by government agencies, incomplete client documents, or client inaction.

13.2 These Terms and Conditions govern the standard service offering of Rexobe Consult Ltd for Post Incorporation Services and are separate from any promotional terms that may have been issued during any promo period.

13.3 Rexobe Consult does not guarantee the outcome of any post-incorporation filing, as approval of all changes is entirely at the discretion of the Corporate Affairs Commission (CAC).

13.4 Where a client engages multiple services and one service is delayed or rejected, this does not affect the processing of the other services engaged. Each service is treated as an independent engagement.

14. General Provisions

14.1 Rexobe Consult reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any material changes.

14.2 These Terms and Conditions shall be governed in accordance with the laws of the Federal Republic of Nigeria.

14.3 Any dispute arising from this service shall first be attempted to be resolved amicably between both parties before any further action is taken.
